The terms that govern your use of the 9th Direction website and quote portal, and the general basis on which we deliver consulting and product engineering engagements.
These Terms of Service ("Terms") govern your access to and use of the 9th Direction Technology Solutions Private Limited ("9th Direction", "we", "us") website, the quote.html proposal portal, and any related pages (collectively, the "Site"). By using the Site, you agree to these Terms. This is a standard, generic template appropriate for a small consulting firm — it is not a substitute for a signed statement of work, which governs the specifics of any paid engagement and takes precedence over this page in the event of conflict.
9th Direction provides senior-led engineering, product design and applied AI consulting to companies in the US, UK, EU and Australia, delivered from Chennai, India. We also build and operate our own software products, including Orjur (legal research) and NeuraJEE (competitive-exam education), which are separate applications governed by their own terms where applicable. Nothing on this Site constitutes a binding offer to perform services; paid engagements are governed by a separately executed proposal, quote or contract.

Commercial proposals are shared through unique links containing an access token. A proposal may additionally be protected by a PIN code, and it will expire automatically after a set period (30 days by default). Access to a proposal does not itself create a binding contract — a proposal becomes binding only once both parties have agreed to it in writing (e.g. a signed order form, countersigned quote, or equivalent written acceptance). We may rotate or revoke access tokens at any time, including to protect the confidentiality of a proposal.
All content on the Site — including text, graphics, the "9th Direction" name and logo, and the design of the Site itself — is owned by or licensed to 9th Direction and is protected by applicable intellectual property laws. Deliverables produced under a paid engagement are governed by the intellectual property terms of the applicable statement of work; absent a written agreement to the contrary, work product transfers to the client upon full payment.
The Site links to third-party products and services we operate (such as Orjur and NeuraJEE) as well as, potentially, external tools unrelated to us. We are not responsible for the content, policies or practices of third-party sites you reach via a link from our Site.
The Site and its content are provided "as is" and "as available" without warranties of any kind, whether express or implied, including — to the extent permitted by law — implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.
To the fullest extent permitted by applicable law, 9th Direction shall not be liable for any indirect, incidental, special, consequential or punitive damages arising out of or related to your use of the Site. Our liability arising from use of the Site itself (as distinct from a separately contracted engagement, which is governed by its own agreement) shall not exceed the amount, if any, you paid to us for use of the Site.
You agree to indemnify and hold 9th Direction harmless from any claim, loss or demand arising from your misuse of the Site or violation of these Terms.
These Terms are governed by the laws of India, without regard to conflict-of-law principles, and any dispute arising from them shall be subject to the exclusive jurisdiction of the courts of Chennai, Tamil Nadu, India — subject to any different governing-law clause agreed in a specific client contract, which will control for that engagement.
We may update these Terms from time to time; the "Last updated" date above reflects the most recent revision. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
